Endnutzer-Lizenzvereinbarung für @vectorstream/pro
Fassung 1.1, Stand: 4. November 2026
Lizenzgeberin: logostream UG (haftungsbeschränkt), Hollersacker 2, 36124 Eichenzell, Deutschland
4. Nutzungsrecht an erhaltenen Versionen#
bisherige an.
- (a) Automatische Verlängerung.
Working translation for information; the German text governs#
Version 1.1, as of 4 November 2026
Change against version 1.0 (as of 3 November 2026): An order through the payment provider Polar renews automatically for one year at a time (sections 3.4, 3.7, 4.5, 5.4, 5.5, 14 and 15.5). For an order for which the Licensee confirmed version 1.0, version 1.0 applies (section 15.5).
The German text is the governing version. This file is a working translation of LICENSE.md and has no standing of its
own.
Software: @vectorstream/pro (version and build date: see the package)
Licensor: logostream UG (haftungsbeschränkt), Hollersacker 2, 36124 Eichenzell, Germany
(commercial register: Local Court (Amtsgericht) Fulda, HRB 9240, represented by: Tobias Fladung)
Licensee: the company named in the licence key (field kunde) and in the order
Language of the contract: German. Governing law and venue: sections 15.1 and 15.2
1. Subject matter#
1.1 The subject matter of this agreement is the software @vectorstream/pro (the "Software"). The Software extends the
free editor @vectorstream/editor with further kinds of rule, attribute conditions, rules in meters, the red preview,
the list of rule violations, snapping onto target layers, the incremental rule check and the circle cut. The exact
scope is described in the Pro handbook of the respective version.
1.2 The free packages @vectorstream/* (in particular core, adapter, editor, leaflet, openlayers, maplibre,
toolbar-ui) are under the MIT licence and are not covered by this agreement. A document that contains rules of the
Software is kept in the free editor; the rules are only not checked there.
1.3 Open-source components. The Software contains or uses third-party components under their own licences, in
particular @noble/ed25519 (MIT) and rbush (MIT), and the free packages of 1.2 as peer dependencies. Their own
licences apply to these components; this agreement does not restrict the rights under those licences. The licence texts
of the components are enclosed with their packages, which are installed with the Software. On request the Licensor names
the components of the respective version in text form.
1.4 This agreement is addressed exclusively to entrepreneurs within the meaning of section 14 of the German Civil Code (BGB), legal persons under public law and special funds under public law. The Licensor concludes no contract about the Software with consumers. When ordering, the Licensee confirms that it acts in the exercise of its trade or independent profession and states its company name for this purpose. If a person without this capacity orders nevertheless, it receives no right of use under this agreement, and the Licensor arranges the refund of the fee paid as soon as it learns of it. Mandatory rights that a person has as a consumer remain unaffected.
1.5 Enterprise and OEM. For uses beyond the tiers of section 3 (for example group licences, redistribution as a developer tool, access to source code) the Licensor concludes a separate agreement. This agreement does not cover such uses.
1.6 Type of contract. This agreement is a contract for handing over software for good against payment. The Licensor hands the versions of the update window (section 5) over to the Licensee for good; the Licensee pays the fee per term. Sales law applies to this handover (section 453 in conjunction with sections 433 et seq. BGB). Providing new versions and support during the term are ancillary services under sections 5 and 10. Rental law does not apply.
2. Definitions#
2.1 Licensee: the company (the legal person or sole trader) that orders the licence and is named in the licence key
(field kunde). Affiliated companies (section 15 of the German Stock Corporation Act, AktG) are not the Licensee unless
they are named themselves. Their developers can occupy seats of the Licensee under 2.13, but only for Applications of
the Licensee. If an affiliated company needs the Software for Applications of its own, it needs a licence of its own.
For a shared licence in a group, section 1.5 applies.
2.2 Staff: employees of the Licensee and persons who develop with the Software on behalf of the Licensee for the Licensee's own purposes (freelancers, contractors, service providers), as far as they use the Software only for the Licensee and within this agreement. A contractor acquires no right of use of its own. Staff who develop with the Software are developers and need a seat (2.13). The Licensee passes the terms of this agreement on to them, as far as they apply to them, before their first access, and is liable for them under 6.3.
2.3 Application: a software of the Licensee into which the Software is embedded (bundled and minified under section 6).
2.4 Third parties: every person outside the Licensee and its Staff under 2.2, in particular customers, clients, partners, public authorities, citizens and the public.
2.5 End user: people who use an Application. End users are always free and unlimited; there is no runtime fee. Whether end users are third parties decides, under section 3, which tier the Licensee needs.
2.6 Internal Use: the use of the Software in Applications that only the Licensee and its Staff use, and to which third parties have no access (section 3.1).
2.7 Commercial use (Commercial): the use of the Software in a product or a service that third parties use or buy (section 3.2).
2.8 Version, build date: every version of the Software carries the date it was built (BAUDATUM, a day, UTC). It is
inserted at build time and is independent of the clock of the machine the Software runs on.
2.9 Licence key: the signed string (vs1.…) that the Licensor issues to the Licensee. The key names the Licensee
(kunde), the licence id (jti), the issue date (iat) and the end of the update window (upd); it can be
restricted to origins (origins).
2.10 Update window: the period from the issue date to the date upd of the key. The key is valid for all versions
whose build date is on or before upd.
2.11 Registry access: the access token with which the Licensee obtains the Software from the Licensor's package server. It is not the licence key.
2.12 Seat and project: the licence key contains the fields art (platz for seat, or projekt for project) and
plaetze (seats). For the tiers of section 3 the Licensor issues keys of kind platz; plaetze names the number of
seats bought. The key is proof of the licence, not the licence: the number of seats in the order and in this agreement
governs, even if the key carries a different number. Keys of kind projekt exist only in Enterprise or OEM agreements.
The Software counts no seats, projects or end users and reports nothing; the limit to the seats bought is contractual.
2.13 Developer and seat: a developer is a natural person who develops with the Software, builds Applications with the Software or configures the Software in an Application: whoever writes or changes code that calls the Software; whoever sets up rules, layers or options of the Software in an Application; whoever builds Applications with the Software. A seat is the right for one developer. Every developer needs a seat of their own. The Licensee assigns each seat to a named person and keeps a record of the assignment (section 13). No seat is needed for: end users (2.5); persons who only use, test or accept an Application; build and CI servers, containers and other machines that are not a person, as long as only developers trigger their builds. Contractors (2.2) who develop with the Software occupy a seat of the Licensee; whoever develops with the Software for several clients needs a seat with each of them or a licence of their own. Developers of affiliated companies (2.1) occupy a seat of the Licensee only for Applications of the Licensee. A seat passes to another person when the previous person leaves or permanently stops developing with the Software. A change is permitted at the earliest 30 days after the last assignment of the seat; this does not apply if the previous person leaves within that time. Rotating a seat so that several persons use it in turns is not permitted. The Licensee gives the Licensor the names of the persons only under section 13.3.
3. Kinds of licence#
Both tiers apply per Licensee and per seat (2.13): the Licensee buys a tier and a number of seats; there is no minimum number. The number of Applications and end users is not limited. Both tiers have the same features. They differ only in the right of use.
3.1 Internal Use permits Internal Use: developing, operating and using Applications that only the Licensee and its Staff use. Examples: a data entry tool for the Licensee's own department; an administration tool on the intranet; a tool with which Staff maintain data for the Licensee. Not covered is any Application that third parties use, even free of charge, even behind a login, even for a single customer.
3.2 Commercial additionally permits Commercial use: embedding the Software in a product or a service that third parties use or buy. Examples: a SaaS offer; a customer portal; an Application that the Licensee develops for a client and hands over to it; a public map that citizens operate; an Application that the Licensee passes on to customers. Redistribution follows section 6. If the Licensee develops an Application for a client, the client needs a licence of its own only if it develops with the Software itself, not for operating and using the Application handed over. Staff of an affiliated company (2.1) and of a public authority are also third parties. An Application that they use needs the Commercial tier. If the tier is doubtful, the Licensee chooses Commercial or asks the Licensor in text form. If the Licensee uses an Application beyond the tier bought, section 3.3 applies. Applications that the Licensee publishes as open source are governed by section 6.4.
3.3 If the Licensee uses the Software beyond the tier bought, or lets more developers work with the Software than it has bought seats, it books the fitting tier or the missing seats, within 30 days after the Licensor has asked it to do so in text form (the "re-booking"). The price, the handling and the right of use of the re-booking follow 3.7; it also covers the time since the start of the excess. The statutory rules apply to default of payment. The Licensor claims no contractual penalty. Statutory claims, in particular for damages, remain unaffected; the additional payment is credited against them. A right of termination under 14.2 exists only if the Licensee does not book in time despite the request and a warning.
3.4 Fees. The yearly fee depends on the tier and the number of seats. Internal Use: EUR 890 for the first seat and EUR 490 for each further seat. Commercial: EUR 1,490 for the first seat and EUR 990 for each further seat. Example: three Commercial seats cost 1,490 + 2 × 990 = EUR 3,470 per year. All prices are plus statutory value added tax. The order shows the total price for the chosen tier and number of seats before it is completed. The fee is due in advance for one year. The list price is the price under this paragraph as it applies on the respective day. For the order, the list price at the time of the order applies. For an automatic renewal (5.5), the list price at the billing date (5.4) applies; if the list price has changed, the Licensor sets the price of the subscription with the payment provider to it before the billing date. The price does not change during a term. The Licensor notifies a changed price for the renewal in text form to the address named in the order at least 30 days before the billing date. If it notifies the price later, the previous price applies to this renewal. The Licensee remains free to cancel before the billing date (5.5 (e)).
3.5 Payment and contracting party. Ordering and payment run through Polar (polar.sh) as payment provider and merchant of record. The payment provider acts as merchant of record in its own name. It handles payment, invoicing and value added tax under its own terms; these payment terms apply to the payment. The licence, the rights of use and all duties concerning the Software arise solely from this agreement between the Licensor and the Licensee. For the use of the Software, this agreement takes precedence over the terms of the payment provider. The payment provider shows the value added tax. It treats value added tax for companies in other EU states (reverse charge) and outside the EU under the statutory rules and the VAT id given; the Licensee states it correctly in the order. The payment provider issues the invoice. All orders and payments, including bookings under 3.3, additional seats (3.7) and renewals (5.5), run through the payment provider; anything else applies only by agreement in text form (for example an Enterprise or OEM agreement, 1.5). The Licensor issues the key and the registry access after the payment date (start of the term and delivery: 5.4). The statutory rules apply to default of payment.
3.6 No trial period. The Licensor issues no trial keys. The Software runs fully without a key and shows a watermark outside development addresses (section 8). Whoever uses the Software without a key uses it for evaluation; productive use without a key is not permitted. Evaluation is trying out the Software on development addresses (8.2) without third parties using the Application; it is not limited in time. Productive use is operating an Application with the Software outside development addresses or for third parties. Whoever uses the Software productively without a key acts without a right of use and books under 3.3, effective from the start of the productive use. This does not apply to the time between the payment date and the delivery of the key (5.4).
3.7 Additional seats and re-bookings. The Licensee can book further seats (the "additional seats") or the higher
tier during the term through the payment provider; a re-booking (3.3) runs the same way. The Licensor then issues a new
key with the new number of seats and the unchanged date upd. Additional seats and re-bookings start no new term; they
belong to the subscription and renew with it if they are still booked on the billing date (5.5 (c)). The price from the
day of the booking is the price per further seat or the difference between the fees of both tiers, in each case at the
price that applies to the running term (3.4), pro rata for the rest of the running term as the payment provider
calculates it; the checkout shows the amount before the order is completed. Per additional seat the Licensee pays at
least one twelfth of the price per further seat. For a re-booking, a one-off amount is added for the time from the start
of the excess to the day of the booking: the same price per further seat or the same difference between the tiers,
divided by 12, per started month. Example, for illustration only: if the payment provider calculates by started months,
for Commercial and seven remaining months an additional seat costs 990 × 7 / 12 = EUR 577.50 plus value added tax. The
right of use from an additional seat and from a re-booking applies at first for the rest of the running term; the
perpetual right of use under 4.1 arises for it with the payment of the first full term in which the seat or the tier is
booked (5.5 (c)).
4. Right of use for versions received#
4.1 The Licensor grants the Licensee the simple, non-exclusive, non-transferable and non-sublicensable right to use
every version of the Software whose build date is on or before the date upd of its key, without limit in time and
worldwide, within the scope of the tier and the seats bought (section 3). The right to these versions survives the end
of the update window ("perpetual right of use for versions received"). The right arises with full payment of the fee;
for an order through the payment provider this is the payment date (5.4), even if the key is delivered later. For
additional seats and re-bookings, 3.7 applies. Transfer is governed by section 15.6.
4.2 The right of use includes: installing and copying for development, test, build and operation; embedding in the Licensee's Applications; redistribution under section 6; bundling, minifying and transpiling as part of the build; backups.
4.3 The right of use does not include: editing the source of the Software beyond the build; circumventing or changing the licence check and the watermark (section 8); use outside the tier bought; reverse engineering beyond what section 69e of the German Copyright Act (UrhG) permits. Mandatory rights under sections 69d and 69e UrhG remain unaffected. The ban on circumventing the licence check and the watermark is a contractual duty; the Software locks no function (section 8.2).
4.4 Intellectual property. The Software is protected by copyright. All rights that this agreement does not expressly grant stay with the Licensor. The Licensee removes no copyright and licence notices. The Licensor may use feedback and suggestions free of charge and without restriction; the Licensee sends no confidential data and no code of third parties with them. The name and trademark "vectorstream" and the names of the packages stay with the Licensor. The Licensee may refer to the Software factually, without creating the impression of a cooperation or an endorsement. If a third party asserts that the use of the Software in accordance with the contract infringes its intellectual property right, the Licensee informs the Licensor without delay and acknowledges nothing without its consent. The Licensee's claims for defects of title are governed by section 11.
4.5 The right of use under 4.1 continues when the update window ends in the ordinary way. It ends only in the cases of
section 14, by a withdrawal under this paragraph and by the reversal of a renewal under 5.5 (d). If the Licensee does
not pay the fee of a term or charges it back, the Licensor can withdraw from the contract for that term after a reminder
with a period of 14 days. The withdrawal and the reversal concern only the term to which the non-payment, the chargeback
or the reversal relates (the "affected term"): the right of use for the versions that are added only in the affected
term ends, even if a key with a later date upd has been issued (2.12); for a renewal these are the versions with a
build date after the date upd of the key of the previous term, for the first term all versions. The registry access
ends (7.4). The right of use for the versions from earlier, paid terms continues (4.1). The withdrawal ends the
subscription (5.5 (f)). If a chargeback concerns only the fee for additional seats or a re-booking (3.7), the reminder
and the withdrawal apply only to those seats or that tier: the right to them ends for the affected term, and the Licensor
removes them from the subscription. The right of withdrawal does not exist if the payment for a renewal fails before the
Licensor has issued the new key; 5.5 (f) then applies. The opening of insolvency proceedings over the assets of the
Licensee does not end the right of use. If the Licensee cancels the renewal (5.5 (e)) or does not renew, this does not
affect the right of use for the versions received; for additional seats and re-bookings, 3.7 applies.
5. Update window#
5.1 Every key names the date upd. It is valid for all versions whose build date is on or before that date. The
Licensor sets upd to the end of the paid term (5.4). Whoever does not extend the window keeps the covered versions without a
watermark and only gets no newer versions.
5.2 The check compares upd with the build date of the version, not with the clock. A key does not run out because
time passes. A version whose build date is after upd shows the watermark (section 8) and otherwise runs unchanged.
5.3 During the update window the Licensor provides new versions through the package server (section 7). Whether and when new versions appear is for the Licensor to decide; there is no claim to particular features or to a release rhythm. Bug fixes and security corrections appear as new versions. Whoever wants to use them without a watermark needs an update window that covers their build date. A claim to a bug fix for versions outside the window exists only under section 11. The Licensor may, as a goodwill gesture, also provide the correction of a serious security vulnerability for older versions; no claim arises from this.
5.4 Term, payment date, billing date. The term is one year. For an order through the payment provider it begins on
the payment date. The payment date is the day on which the payment is received by the payment provider, according to its
receipt; for a renewal it is the day on which the payment provider collects the fee. The billing date is the day on which
the running term ends and from which the payment provider collects the fee of the renewal (5.5); where this agreement
speaks of the end of the term, for an order through the payment provider the billing date is meant. If the payment
provider collects the fee only within its own retry and dunning period, the renewal counts as paid in time. If a renewal
is paid in time, the new term begins on the billing date and follows the previous
one without a gap. After an end under 5.5 (f), a new term begins on the payment date. These rules on the start apply to
the order and its renewals; a booking under 3.3 and additional seats (3.7) start no new term. For contracts without a
payment provider (Enterprise or OEM agreement) the term begins on the issue date (iat) of the key unless agreed
otherwise. The key states with the date upd the end of the update window (5.1). Its issue date (iat) is the day the
key was issued and can be after the start of the term. The update window of the key also covers all versions released
from the start of the term. The update window ends with the term. The right of use for the versions received continues
under section 4.1. The Licensor aims to deliver the key and the registry access within one working day after the payment
date (Monday to Friday, excluding public holidays in Hesse). This is an aim and not a condition for the start of the
term. From the payment date the Licensee may use the Software productively within the scope ordered (4.1); that the
Software shows the watermark until the key is delivered is no breach of 3.6. The statutory rights of the Licensee in
case of delay remain unaffected.
5.5 Renewal. The following applies:
- (a) Automatic renewal. An order through the payment provider is an automatically renewing order (the "subscription" with the payment provider). On the billing date of each term it renews for a further year unless it ends under (e), (f) or (g). The Licensor arranges that the checkout shows the automatic renewal clearly before the purchase and contains a confirmation field that the Licensee must tick; without the ticked field the order cannot be completed. The ticked field is the express consent to the automatic renewal. An order without automatic renewal exists only by separate agreement with the Licensor in text form (for example an Enterprise or OEM agreement, 1.5). For it, the renewal is a new order of the same or a higher tier for a further year, with the same or another number of seats, at the list price at the time of the order (3.4); (b) applies to it accordingly, (c) sentence 1 does not apply.
- (b) Start and key. The new term begins under 5.4. After the payment date, the Licensor issues a new key with a new
date
upd. The new key covers all versions up to its dateupd, including the versions from the time between the end of the previous term and the start of the new one. - (c) Price, tier and seats. The list price at the billing date (3.4) applies. For the automatic renewal, the tier and the seats of the subscription on the billing date apply, including the additional seats and the re-bookings (3.7). The Licensee can reduce the number of seats for the next term. The ways and the deadline of a cancellation under (e) apply to this: in the customer portal of the payment provider, as far as it allows it, or in text form to the Licensor, in each case before the billing date. If the payment provider collects the fee for the previous number of seats despite a timely reduction, (d) applies accordingly to the difference; otherwise the renewal continues with the reduced number of seats.
- (d) Reminder and reversal. The Licensor reminds the Licensee of each renewal in text form before it. The reminder is sent at the latest 7 days before the billing date to the address named in the order and names the price and the term of the renewal and the way to cancel under (e); a reminder of the payment provider with this content suffices. If no such reminder is sent, or if the payment provider collects the fee despite a timely cancellation under (e), the Licensee can object to the renewal in text form; it must send the objection at the latest 30 days after the payment date of the renewal (5.4). The renewal is then reversed (the "reversal"): the Licensor arranges the refund of the fee of the renewal through the payment provider; the renewal counts as not made; the right of use for the versions of that term and the registry access end under 4.5; otherwise (f) applies. For the notice of a changed price, section 3.4 also applies.
- (e) Cancellation. The Licensee can cancel the automatic renewal at any time, in the customer portal of the payment provider, as far as it allows it, or in text form to the Licensor, sent from the address named in the order. The cancellation takes effect on the billing date. It is timely if the Licensee declares it in the customer portal or sends it in text form before the billing date; the Licensee proves the sending and its time. After a cancellation in text form, the Licensor ends the subscription with the payment provider without delay after receipt of the cancellation; if the payment provider collects the fee before that, (d) applies. The registry access lasts until the billing date (7.4). The fee for the running term is not refunded on cancellation; for a collected renewal, (d) takes precedence. Section 14.4 and mandatory statutory rights remain unaffected.
- (f) End without renewal. If the Licensee cancels in time, a renewal is reversed under (d) or the payment for the renewal fails even within the retry and dunning period of the payment provider (5.4), the term ends on the billing date, and the update window ends with it. The right of use for the versions received continues under sections 4.1 and 4.5. If the Licensee pays later, a new term begins on the payment date under 5.4. On a withdrawal under 4.5 this paragraph applies accordingly.
- (g) Ending by the Licensor. The Licensor can end the automatic renewal on the billing date by notice in text form at least 30 days in advance. (f) then applies accordingly.
6. Redistribution#
6.1 The Licensee passes the Software on only embedded in an Application of its own: bundled and minified, so that the Software cannot be taken out as a stand-alone library, and only within the tier bought. With the Internal Use tier the Licensee does not pass the Application on to third parties.
6.2 Not permitted is: passing the Software on as a library, package, SDK or developer tool; reselling the Software; making it available in a package registry or source repository that third parties can read (also not in a public Git repository); passing on source code, type declarations or unprocessed package files of the Software; renting, lending or sublicensing the Software itself. The Licensee does not deliver source maps that contain source code of the Software to third parties. Type declarations of the Licensee's own Application that name types of the Software without containing them are permitted. Hosting of the Application by a service provider of the Licensee is permitted (6.3). If the Licensee passes the source code of its Application on to a client, it does not pass the Software on with it; a client who develops further with the Software needs a licence of its own (2.13, 3.2).
6.3 The Licensee arranges that its Staff, contractors and hosting providers use the Software only under this agreement, and is answerable for their conduct as for its own (section 278 BGB). It passes the terms on to them as far as they apply to them.
6.4 An Application that the Licensee publishes as open source must not contain the Software, because the open-source licence would grant third parties rights to the Software that this agreement does not grant. Exceptions exist only in a separate agreement under 1.5.
7. Licence key#
7.1 The licence key and the registry access are bound to the Licensee. The Licensee passes both on only to its developers (2.13) who occupy a seat and to its own build and CI systems, and to nobody else. It does not pass either on to persons beyond the seats bought; the key and the registry access replace no seat. It publishes neither (also not in a public source repository, in build logs or in documentation).
7.2 A key built into a browser bundle can be read by visitors of the Application. This is unavoidable in browser use and does not breach 7.1. The Licensee nevertheless keeps the key out of repositories that third parties can read, and out of places that are not part of its Application. It treats the key with the care it applies to its own confidential credentials.
7.3 A compromised key stays valid for the versions already delivered; there is no revocation list and no network query. In that case the Licensor can end the registry access, issue a new key and use other signing keys in new versions, so that the old key no longer covers newer versions. The Licensee reports a loss or disclosure of the key or of the registry access without delay in text form. The Licensor then issues a replacement key and a new registry access once per term free of charge; for further replacements in the same term it can charge the proven effort. The Licensee is liable for use by third parties with its key under the statutory rules if it has breached 7.1 or 7.2 through its fault.
7.4 Registry access. The Licensor provides the Software through a package server that requires one access token per Licensee (one token per company, not per seat). The Licensee stores the token only with its developers (2.13) and on its own build and CI systems. The access is valid for the term (5.4); it ends earlier only under 4.5, 7.3 and 14.2. The Licensor provides the package server during the term with reasonable care. It owes no particular availability; a temporary interruption through maintenance or a fault is no defect as long as the Licensee can obtain the Software within a reasonable time. The Licensee backs up the versions it uses itself before the end of the term; after the end of the term the Licensor owes no access to the package server.
7.5 The licence key is checked entirely offline (section 9). The Software verifies the signature of the key, the date
upd against its build date and, if the key names origins, the origin of the page. A key with an expiry date (exp) is
not part of the tiers of section 3; if the Licensor issues such a key in a separate agreement, it ends on that day.
8. Watermark and scope of functions#
8.1 Without a valid key, with a key outside the update window or on an origin that the key does not allow, the Software shows a small watermark in the map ("vectorstream Pro · not licensed") and writes one line to the console once per page.
8.2 The watermark is a reminder, not a lock. The Software switches off no function, not even delayed; the licence check
throws no error and aborts nothing. On development addresses the Software runs for evaluation without a watermark:
localhost, 127.0.0.1, [::1], *.localhost and file: pages. A page in a sandboxed frame (origin null) also
counts as a development address. In Node there is no origin and no watermark.
8.3 The Licensee does not remove, hide or change the watermark and the console line and does not circumvent the licence check, also not through styles, scripts or changes to the bundle. The only intended way to remove the watermark is a valid key. Technically anyone who can change the page can hide the watermark; this is known and does not change the duty. A breach is a breach of contract. The consequence follows from section 14.2 and, if the Licensee uses the Software productively without a valid key in doing so, from section 3.3. This agreement provides for no contractual penalty.
8.4 The scope of functions is the same in every state of the licence check. A key unlocks no function and locks none.
9. Privacy and telemetry#
9.1 The licence check runs entirely in the browser or in Node and without a network connection. The Software opens no network connection for licence, counting or telemetry, nor for anything else; no data about the use leaves the page. The Software processes no personal data for the Licensor. A test in the source fails if the Software contains a way to reach the network. These properties are agreed quality of the Software (11.1). A future version may deviate from them only if its changelog and its handbook name the deviation expressly; the Licensee may continue to use the earlier versions under 4.1.
9.2 Personal data arises only when ordering, invoicing, for support, when accessing the package server (access logs, one token per Licensee) and in an information request under section 13. The Licensor processes it under its privacy policy, which also contains the information under Art. 13 GDPR. The Licensor keeps access logs only as long as needed for operation, security and accounting. The payment provider processes the data of the order and payment under its own privacy policy. If the Licensor uses service providers, for example for the package server, it concludes the contracts required by Art. 28 GDPR with them.
10. Support#
10.1 Support is given by e-mail to the address named in the order, in German and English, during the term. It covers questions about installation, the key and the documented function of the Software. The Licensor answers within a reasonable time, as a rule within five working days (Monday to Friday, excluding public holidays in Hesse). This is a guide, not a fixed response time. Support is an ancillary service without warranty consequences of its own.
10.2 Support is not bug fixing with a deadline, not advice on geodata or on domain rules and not further development. Bug fixes appear, if at all, as new versions under section 5. If the Licensee reports an error that breaches the documented function, it is a defect; the Licensee's rights are governed by section 11 and are not limited by this section.
11. Warranty#
11.1 The agreed quality of the Software follows from the Pro handbook of the respective version, including the known limits described there (for example the antimeridian, minimum width with very long non-convex slivers, distances near the poles), and from section 9.1. Statements on the website are product descriptions, not guarantees. The Licensor gives a guarantee only if it expressly calls it so in text form. Fitness of the Software for a particular purpose, for example for an official procedure or use in a public authority, is owed only as far as the handbook describes it or the Licensor confirms it in text form.
11.2 The rule check of the Software is an aid for data capture and replaces no technical, official or legal check of the data. It finds violations to the extent the handbook describes and does not assure that data is free of errors. This is the agreed quality; it does not restrict liability under section 12.
11.3 For defects the statutory provisions of sales law (sections 434 et seq. BGB) apply, as far as this agreement does not
provide otherwise. The Licensor provides supplementary performance at its choice by remedying the defect or by a new
version; if it provides a version whose build date is after upd for this purpose, it issues a key that covers that
version. If supplementary performance fails after the second attempt or the Licensor refuses it, the Licensee can reduce
the fee or withdraw from the contract. Claims for defects become time-barred two years after the version was provided.
This does not apply to intent, to fraudulent concealment of a defect and to the cases of liability in section 12.1; the
statutory periods apply to them. Not defects are errors that result from changes made by the Licensee to the Software
(4.3), from versions of the free packages that the handbook of the version does not name, or from environments without
Ed25519 (12.4). Statutory duties to examine and give notice of defects (section 377 of the German Commercial Code, HGB)
remain unaffected. The Licensee describes a defect so that the Licensor can reproduce it.
12. Liability#
12.1 The Licensor is liable without limit for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. It is equally liable without limit as far as it has given a guarantee or has fraudulently concealed a defect.
12.2 For ordinary negligence the Licensor is liable only for the breach of an essential contractual duty. This is a duty whose performance makes the proper execution of the contract possible in the first place and on whose observance the Licensee regularly relies. In this case liability is limited to the typical damage that was foreseeable. It is also limited to the fees that the Licensee has paid in the twelve months before the damaging event. For the breach of other duties the Licensor is not liable for ordinary negligence.
12.3 For loss of data the Licensor is liable for ordinary negligence only up to the effort that restoring the data would have cost with regular backups by the Licensee that are adequate to the risk. The Licensor is not liable for decisions that the Licensee or third parties take on the basis of a result of the rule check, whether technical, official or legal. This does not apply if the result rests on a defect for which the Licensor is responsible under 12.1 or 12.2.
12.4 The Software does not run in environments that support Ed25519 neither in WebCrypto nor through the built-in
fallback; there it reports the key as invalid (kryptografie) and shows the watermark. This is part of the agreed quality
of the Software (11.1). An environment of the Licensee or of its end users that does not meet this requirement is not a
defect.
12.5 The limits of liability in this section also apply in favour of the legal representatives, employees and vicarious agents of the Licensor. Liability under 12.1 remains unaffected.
13. Audit#
13.1 The Licensee keeps a record of which persons occupy its seats as developers (2.13). Once per term the Licensor can ask in text form for information: in which Applications the Software is used, whether third parties use these Applications (tier) and how many developers occupy seats (number and assignment). The Licensee answers within 30 days in text form. There is no technical monitoring; the Software counts and reports nothing.
13.2 The information on the number of developers consists of the number and the confirmation by the management of the Licensee that the number is correct. If the information shows use beyond the tier or the seats bought, section 3.3 applies.
13.3 The Licensee gives the names of the developers only on request in text form where there is a reasonable suspicion of use beyond the seats bought. The Licensor states the grounds of the suspicion. If the information has not removed the suspicion, the Licensor can demand, once per term, an audit by a third party bound to secrecy (for example an auditor or a lawyer). It announces the audit at least 14 days before in text form. The audit takes place during normal business hours and disturbs the Licensee's business no more than necessary. The auditor tells the Licensor only whether and to what extent the Licensee has used more seats than bought. There is no on-site audit without reasonable suspicion. The Licensor bears the costs of the audit. The Licensee bears them if the audit shows an excess of more than 10 % of the seats bought.
13.4 The Licensor treats the information and the results of an audit as confidential. It uses them only to check compliance with this agreement and deletes names after the audit is closed. If the Licensee refuses the information under 13.1 or the audit under 13.3 despite a request and a warning with a period of 14 days, the Licensor can terminate under 14.2.
14. Term and termination#
14.1 The term follows from section 5.4. For an order through the payment provider, the term renews under 5.5 until the contract ends by a cancellation of the Licensee (5.5 (e)), by an end without renewal under 5.5 (f) (non-payment, a reversal under 5.5 (d) or a withdrawal under 4.5), by an ending of the renewal by the Licensor (5.5 (g)) or by a termination for good cause (14.2, 14.4). A withdrawal by the Licensor and the reversal of a renewal (4.5, 5.5 (d)) end the right of use and the registry access only for the affected term. For an order without automatic renewal (5.5 (a)), ordinary termination is neither needed nor provided for; the contract ends with the update window. Except for a termination under 14.2 and for the affected term under 4.5, the right of use for the versions received continues under section 4.1.
14.2 The Licensor can end the right of use for good cause (section 314 BGB), in particular if the Licensee passes the Software on contrary to section 6, gives the key or the registry access to third parties contrary to section 7, removes the watermark contrary to section 8.3, uses the Software outside the tier bought or lets more developers work with the Software than seats bought, and does not end the breach despite a warning with a period of 14 days. For a breach that cannot be remedied, no warning is needed. For use beyond the tier bought or the seats bought the right of termination does not exist if the Licensee books and pays within the period under 3.3. The Licensor terminates in text form, stating the reason, and within a reasonable time after it learns of it. The termination ends the right of use on receipt, including the perpetual right of use for the versions received (4.1). It also ends the automatic renewal; the Licensor ends the subscription with the payment provider.
14.3 After a termination under 14.2 the Licensee stops the use, removes the Software from its Applications and deletes the package files and the key; on request it confirms this in text form. It deletes copies in backups that nobody accesses specifically with the regular deletion of the backup. The Licensor ends the registry access and the subscription with the payment provider. Fees paid are not refunded. Sections 4.4, 7, 9, 12, 13 and 15 continue to apply after the termination.
14.4 The Licensee can terminate for good cause (section 314 BGB) in text form, in particular if the Licensor does not perform an essential contractual duty despite a set period. In this case the right of use for the versions received (4.1) continues, and the Licensor arranges through the payment provider the refund of the fee pro rata for the full months that remain of the term after receipt of the termination. The termination also ends the automatic renewal.
15. Final provisions#
15.1 Governing law. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and the conflict of laws rules. Mandatory provisions of the state in which the Licensee has its seat remain unaffected, as far as they cannot be excluded by a choice of law.
15.2 Venue. The exclusive venue for all disputes arising from or in connection with this agreement is the seat of the Licensor (Fulda) if the Licensee is a merchant, a legal person under public law or a special fund under public law (section 38 (1) of the German Code of Civil Procedure, ZPO). The same applies if the Licensee has no general venue in Germany, as far as the law permits such an agreement (section 38 (2) ZPO, Art. 25 Brussels I Regulation (recast)). The Licensor may also sue the Licensee at its general venue.
15.3 Export control. When using and passing on its Applications the Licensee complies with the applicable export and sanctions rules. The Licensor need not perform as far as such rules prevent it; it also complies with them when selling through the payment provider.
15.4 Conclusion of the contract and inclusion. This agreement becomes part of the contract with the order. The
payment provider shows it before the purchase (with a link), and the Licensee confirms it expressly before the purchase.
It is enclosed with the package (LICENSE.md). By installing or using the Software the Licensee accepts it. For the use
of the Software, this agreement takes precedence over the terms of the payment provider (3.5). Deviating or conflicting
terms of the Licensee, for example purchasing terms, do not become part of the contract, even if the Licensor does not
object to them.
15.5 Amendments. Amendments to this agreement apply to new orders and renewals by new order; for a running term the version in force at the order applies. The version that the Licensee confirmed at the order governs. If the version enclosed with a package obtained later differs, the confirmed version applies for the running term. On a renewal by new order, the version that the Licensee then confirms applies. On an automatic renewal under 5.5, the version that the Licensee last confirmed stays governing until the Licensee confirms a newer one. Prices are excepted: the price of a renewal is the list price at the billing date under 3.4, with the notice and the fallback to the previous price regulated there. The version last confirmed does not freeze prices. Amendments and side agreements need text form. The precedence of individual agreements (section 305b BGB) remains unaffected.
15.6 Assignment. The Licensee transfers this agreement and the rights under it only with the Licensor's consent in text form; consent is not unreasonably withheld on universal succession and transfer of business. On conversion and universal succession the agreement passes to the legal successor; the Licensee notifies this without delay in text form. If the Licensee sells the company or the business unit with the Applications, the buyer enters into all duties. The number of seats stays unchanged. Section 34 UrhG remains unaffected.
15.7 Severability. If a provision of this agreement is wholly or partly invalid or has not become part of the contract, the agreement remains valid otherwise. The statutory rule takes the place of the invalid or missing provision (section 306 (2) BGB).
15.8 Language. The German version of this agreement governs. The English version is for information only and is not a second contract language; where they differ, the German text applies.
